Corporate Structure
In November 2022, BRB Foods, Inc. underwent a corporate restructuring where:
Membership interests in Thamuz LLC were contributed to BRB Foods, Inc. by certain members of the Bonifacio family and early investors, making BRB Foods Inc. the sole shareholder of Thamuz LLC, a Delaware holding company.
Thamuz LLC owns 100% of BR Brands S.A. (formerly BR Brands Ltda.) and Boni Logística Ltda., both incorporated under Brazilian law.
Capital contributions were made to the Company based on services and vesting agreements, with the majority shareholder retaining control of BRB Foods, Inc.
Corporate Information
BRB Foods, Inc. was incorporated in Delaware on October 13, 2022, and transitioned to Wyoming incorporation on September 28, 2023, under the Wyoming Business Corporation Act. As part of this process, its name was changed from “BRB Foods Ltd.” to “BRB Foods, Inc.”
The Company operates through its subsidiaries:
. Thamuz LLC (Delaware LLC, formed June 2, 2022, a pure holding)
. BR Brands S.A. (Brazilian corporation, formed December 1, 2020)
. Boni Logística Ltda. (Brazilian limited company, formed February 26, 2020)
